1. Acceptance of Terms

By registering for an account, accessing, or using the Topd platform ("Service"), operated in Bishkek, Kyrgyz Republic, you agree to be legally bound by these Terms and Conditions. If you do not agree to these terms, you must refrain from accessing or using our Service.

2. Description of Service

Topd provides software-as-a-service (SaaS) tools designed for car rental agencies, leasing operators, and automotive fleets. Features include:

• Driver background verification and blacklist lookup against shared fleet safety records.
• Digital rental agreement drafting, photo condition logging, and contract lifecycle management.
• Fleet tracking, maintenance recording, and telemetry oversight.
• Role-based administrative dashboards for owners, managers, mechanics, and drivers.

3. User Accounts and Verification

To access the dashboard and premium features, users must register an account and maintain accurate, up-to-date business documentation. You are solely responsible for:

• Maintaining the confidentiality of your login credentials and two-factor authentication tokens.
• Ensuring that all driver documentation and passport scans uploaded comply with applicable privacy regulations.
• All actions conducted under your account, whether authorized or unauthorized.

4. Driver Verification and Blacklist Database

The driver check system collates reports provided by verified fleet operators regarding unpaid rental fees, traffic violation defaults, vehicle damage, or criminal misappropriation. Participating companies agree that any incident report submitted must be factual, accurate, and supported by valid agreements or police reports. False or malicious blacklisting is strictly prohibited and constitutes grounds for immediate platform termination.

5. Subscriptions, Fees & Manual Payments

Access to paid plans (Pay Per Check, Basic, Premium) is governed by the pricing schedule published on the platform.

• Manual Bank & Mobile Transfers: Users purchasing subscriptions via Demir Kyrgyz International Bank (DKIB) bank wire, MBank, or Optima Bank must upload legible payment receipts or transaction references.
• Admin Approval: Manual payments are verified and activated by our billing administrators upon bank clearing.
• Refunds: Payments for driver checks performed or active monthly terms are non-refundable unless required by applicable law.

6. Intellectual Property & License

All software, design systems, algorithms, databases, logos, and UI components remain the exclusive intellectual property of Topd. Users are granted a limited, non-transferable, revocable license to access the platform solely for internal business operations.

7. Limitation of Liability

To the maximum extent permitted under Kyrgyz Republic law, Topd and its directors shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, vehicle damage, or operational interruptions resulting from the use or inability to use the platform.
